Initial discussion

Within the bounds of published information, we establish each side’s interest, the technology or programme concerned, the research objective and the scope for working together.

NDA / CDA

A confidentiality agreement is concluded before we reach the stage at which unpublished information must be disclosed.

Due diligence / Data room

Research data, non-clinical information, manufacturing and CMC, intellectual property, development plans and whatever else the case requires are examined. Where appropriate, a controlled data room is used.

Term sheet / Key terms

The subject matter, territory, scope of rights, division of roles, background IP, foreground IP, publication of results and financial terms are settled.

Agreement

A joint research agreement, a co-development agreement, a licence agreement or another final contract is concluded, according to the case.
